Soul Exchange, Sorcery, designed by Anthony S. Waters first released in Nov, 1994 in the set Fallen Empires and was printed exactly in 2 different ways. It's currently being selled by the minimum price of 0.70.
This card would benefit decks that focus on sacrificing creatures for value, such as Aristocrat or Reanimator decks. While Soul Exchange can provide a way to bring back a creature from the graveyard with a potential buff if the exiled creature was a Thrull, there are better cards like Reanimate or Animate Dead that offer similar effects at a lower cost and without the need to exile a creature you control. Therefore, Soul Exchange might not see much play in competitive Magic: the Gathering decks.

Putting a counter on the creature put onto the battlefield is not a targeted effect and so Protection from Black will not prevent it.
